In no event shall Neut be liable for any direct, indirect, incidental, special, or consequential damages, or any loss of profits or revenues, arising out of or in connection with your use of or inability to use the Services, even if Neut has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Neut, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.
Neut reserves the right to suspend or terminate your access to the Services at any time and for any reason, without notice. Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the Services.
11.1 Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
11.2 Dispute Resolution:
Any disputes arising out of or related to these Terms shall be resolved through negotiation in good faith. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration taking place in San Jose, CA.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Neut regarding the use of the Services and supersede all prior agreements or understandings, whether written or oral.
12.2 Severability:
If any provision of these Terms is deemed unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
12.3 Waiver:
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Neut’s failure to enforce any provision shall not constitute a waiver of its right to subsequently enforce that or any other provision.
